is it worth it for me to upgrade with DDR3?
im building a new system
Phenom II X4 BE 3.2ghz
650w antec Psu
Ati 5770 1gb (crossfire later)
Windows 7 64 bit
but now it comes down to my motherboard and RAM,
from my current build i already have 4GB DDR2 @800mhz
so should i go with this motherboard and save 100$ (im on an very tight budget so anything i can save is good)

is it really necessary for me to get all new Ram? or will the DDR2 be sufficient? i know its slightly hindering it from being futureproof but will DDR2 still be decent Ram within the next few years? also how much (like in fps) will the DDR2 slow down my games?
If you are already using an AM2 motherboard, then it's not really worth it to get new RAM. Sure, DDR3 is faster, and can be used in triple-channel, but the difference is only noticeable if you are doing heavy productivity work, so to speak, such as Adobe Photoshop/Final Cut, etc.
That said, if you want to go DDR3, stretch your budget a little.

It's about $200 total, but both are quality products; I can say from personal experience.
Once again, DDR3 isn't really necessary. If you can save by going with AM2 and DDR2, by all means, go ahead. I understand there are AM2/AM2+/AM3 motherboards out there, but heck, I've found the single-socket purpose ones more to my liking.
